Mr. Ed Usalis leads the BankValue Advisory Services practice. This practice provides community banks with financial advisory services consisting of bank stock valuations, shareholder agreements, fairness opinions, market research, and confidential merger and acquisition assistance.
Mr. Usalis’ career includes nearly 20 years of experience providing business valuation, litigation support consulting and financial advisory services. He has prepared business valuations for federal gift and estate tax returns, estate planning, employee stock ownership plans, financial reporting, and mergers and acquisitions. In addition, he has also provided expert witness services in connection with intangible asset litigation and quantified economic damages in connection with a variety of business disputes. His industry experience includes agriculture, chemicals, construction, finance and insurance, franchising, health care, information technology, manufacturing, professional services, telecommunications, and wholesale distribution.
Prior to joining United Bankers’ Bank, Mr. Usalis established Northern Valuation, a financial advisory firm based in Saint Paul, Minnesota. The firm’s financial advisory services include business valuations, financial reporting valuations, intangible asset valuations, and estate and gift tax valuations. Before founding Northern Valuation in 2013, he was a Senior Manager and Practice Leader of the Business Valuation and Corporate Services group of AccuVal Associates, a national appraisal firm, from 2009 to 2013. Prior to joining AccuVal, Mr. Usalis held a variety of management positions within the valuation practices of national and regional accounting firms. From 2007 to 2009, Mr. Usalis was a Senior Manager in the business valuation and litigation support practice of Baker Tilly Virchow Krause in Minneapolis, Minnesota. Prior to Baker Tilly Virchow Krause, Mr. Usalis was a Manager in the business valuation and litigation support services group of RSM McGladrey, Inc. in Minneapolis, Minnesota from 2005 to 2007. Prior to RSM McGladrey, Mr. Usalis was employed by Lurie Besikof Lapidus and Company, LLC in Minneapolis, Minnesota as a Manager in their valuation services group and private investment banking practices from 2003 to 2005. From 2000 to 2003, Mr. Usalis was a Senior Associate in the business valuation and litigation support services group of RSM McGladrey Inc. in both Minneapolis, Minnesota and Des Moines, Iowa. From 1999 to 2000, Mr. Usalis was a Senior Analyst in the closely-held asset management of Bank One (now JP Morgan Chase), in Columbus, Ohio.
Mr. Usalis is a Certified Valuation Analyst with the National Association of Certified Valuators and Analysts. He also has the Certified Fraud Examiner designation from the Association of Certified Fraud Examiners. He is also a Candidate Member with the American Society of Appraisers.
The community bank industry represents a unique niche that valuation practitioners may be able to service. Given the regulated nature of the industry, data and resources are relatively abundant. The presentation will explore the basics of analyzing and valuing a community bank.
